These Terms of Use ("Terms") govern your access to and use of necessaryit.com and any related pages, forms, content, and online services (collectively, the "Site") operated by Necessary Information Technologies, LLC, doing business as NECIT and NecessaryIT ("NECIT," "we," "us," or "our").
By accessing or using the Site, or by submitting information through the Site, you agree to these Terms and to our Privacy Policy, which is incorporated by reference. If you do not agree, do not use the Site.

2. Relationship to Professional Services
These Terms govern use of the Site only. Professional services, including cybersecurity, enterprise architecture, managed security, vCISO, and vCIO services, are provided solely under a separate written agreement, such as a master services agreement, statement of work, nondisclosure agreement, or business associate agreement (each, a "Services Agreement"). If these Terms conflict with a Services Agreement, the Services Agreement controls with respect to the services it covers.
Submitting an inquiry, scheduling a conversation, or communicating with us through the Site does not create a client relationship, a consulting engagement, or any obligation on either party to provide or purchase services.
3. Informational Content; No Professional Advice
Content on the Site, including descriptions of services, approaches, frameworks, articles, and insights, is provided for general informational purposes only. The content does not constitute cybersecurity, technical, legal, compliance, regulatory, financial, or other professional advice, and is not a substitute for an assessment of your specific environment. You should not act or refrain from acting based on Site content without obtaining advice tailored to your circumstances.
References to frameworks, standards, or regulations, such as NIST, CIS, HIPAA, SOC 2, or CMMC, describe the frameworks we work with and do not represent certification, accreditation, or endorsement by any standards body or government agency. Descriptions of services do not guarantee any particular security outcome, compliance result, or audit finding. No security program can eliminate all risk.
4. Eligibility
The Site is intended for business and professional use by individuals who are at least 18 years old, or the age of majority in their jurisdiction. By using the Site, you represent that you meet this requirement, that information you provide is accurate and complete, and, if you act on behalf of an organization, that you are authorized to do so.
5. Information You Submit
Do not submit confidential, proprietary, or sensitive information through the Site's contact form, including passwords, credentials, network details, vulnerability information, incident details, protected health information, or payment information. Information submitted through the Site before a Services Agreement or nondisclosure agreement is in place is not treated as confidential, except as described in our Privacy Policy. If sensitive information is needed, we will arrange a secure method of transfer.
If you provide feedback, suggestions, or ideas about the Site or our services, you grant NECIT a worldwide, royalty-free, perpetual, irrevocable license to use that feedback without obligation to you. This license does not apply to client information or materials provided under a Services Agreement.
6. Mobile Messaging (SMS) Terms
If you provide a mobile phone number through the Site in accordance with the text messaging disclosure on our contact form, you agree to receive text messages from Necessary Information Technologies, LLC related to your inquiry, scheduling, and service communications.
- Program description: conversational and service-related messages responding to your inquiry or engagement
- Frequency: message frequency varies
- Cost: message and data rates may apply
- Opt out: reply STOP to any message to stop receiving texts; you will receive one confirmation message
- Help: reply HELP or email privacy@necessaryit.com
- Consent: consent is not a condition of purchasing any service and is not transferable to any third party
- Carriers: carriers are not liable for delayed or undelivered messages
Mobile information and text messaging consent are handled as described in Section 6 of our Privacy Policy and are never shared with third parties for marketing or promotional purposes.
7. Acceptable Use
You agree to use the Site only for lawful purposes and in accordance with these Terms. You agree not to:
- Probe, scan, or test the vulnerability of the Site or any related system, or breach or circumvent any security or authentication measure, except as permitted in Section 8
- Introduce malware, viruses, or other malicious code, or interfere with the availability or performance of the Site
- Use bots, crawlers, scrapers, or other automated means to access, copy, or harvest Site content or data, other than search engine indexing that complies with our robots.txt file
- Submit false, misleading, or fraudulent information, or impersonate any person or organization
- Use the Site to send spam, phishing messages, or unsolicited communications
- Frame, mirror, or copy the Site, or reproduce Site content or branding for commercial purposes, without our written permission
- Use Site content to train, develop, or improve artificial intelligence or machine learning models without our written permission
- Use the Site in any manner that violates applicable law or infringes the rights of others
Violations may result in suspension of access, reporting to appropriate authorities, and civil or criminal liability.
8. Responsible Security Disclosure
We value the work of the security community. If you believe you have discovered a vulnerability affecting the Site, please report the vulnerability to security@necessaryit.com with enough detail for us to reproduce the issue.
When researching and reporting in good faith, please:
- Limit testing to the minimum necessary to demonstrate the issue
- Avoid accessing, modifying, or retaining data that does not belong to you
- Avoid degrading Site availability, including denial-of-service testing and automated high-volume scanning
- Allow a reasonable time for remediation before any public disclosure
We will not pursue legal action against researchers who follow these guidelines in good faith. This safe harbor applies only to the Site and does not authorize testing of any client environment or third-party system.
9. Intellectual Property
The Site and its content, including text, graphics, diagrams, logos, the NECIT name and wordmark, the NecessaryIT name, page layouts, and underlying code, are owned by or licensed to Necessary Information Technologies, LLC and are protected by United States and international intellectual property laws.
You are granted a limited, non-exclusive, non-transferable, revocable license to access and view the Site for your internal business or personal informational purposes. No other right, title, or interest is granted. Sample deliverables, diagrams, and illustrations shown on the Site are illustrative only and may not be reproduced or used as templates without our written permission.
10. Third-Party Links and Services
The Site may link to or integrate third-party websites, scheduling tools, or services. We do not control and are not responsible for third-party content, terms, or privacy practices. Your use of third-party services is at your own risk and subject to their terms.
11. Disclaimer of Warranties
THE SITE AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, OR COMPLETENESS. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NECESSARY INFORMATION TECHNOLOGIES, LLC AND ITS OWNERS, OFFICERS, EMPLOYEES, AND CONTRACTORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, DATA, BUSINESS, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF OR RELIANCE ON THE SITE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM OR RELATED TO THE SITE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100).
This limitation applies to use of the Site only. Liability for professional services is governed exclusively by the applicable Services Agreement.
13. Indemnification
You agree to indemnify and hold harmless Necessary Information Technologies, LLC and its owners, officers, employees, and contractors from any claims, losses, liabilities, damages, and expenses, including reasonable attorneys' fees, arising from your violation of these Terms, your misuse of the Site, or your infringement of the rights of any third party.
14. Termination
We may suspend or terminate your access to the Site at any time, without notice, for conduct that violates these Terms or that we believe is harmful to NECIT, our clients, other users, or our systems. Sections 3, 5, 9, and 11 through 17 survive termination.
15. Governing Law and Venue
These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law principles. Any dispute arising from or related to these Terms or the Site will be brought exclusively in the state or federal courts located in Denton County, Texas, and you consent to the personal jurisdiction of those courts.
16. Copyright and Intellectual Property Complaints
We respect intellectual property rights and respond to notices of alleged infringement under the Digital Millennium Copyright Act (17 U.S.C. § 512). To report alleged infringement, send a written notice including:
- Your physical or electronic signature
- Identification of the copyrighted work claimed to be infringed
- Identification of the allegedly infringing material and its location on the Site
- Your name, address, telephone number, and email address
- A statement that you have a good-faith belief that the use is not authorized by the owner, its agent, or the law
- A statement, under penalty of perjury, that the information in the notice is accurate and that you are the owner or authorized to act on the owner's behalf
Send notices to hello@necessaryit.com with the subject line "DMCA Notice," or by mail to the address in Section 1. If material you posted was removed by mistake, you may submit a counter-notification containing the information required by 17 U.S.C. § 512(g)(3). Trademark and other intellectual property concerns may be sent to the same address.
17. General Terms
- Entire agreement: these Terms and the Privacy Policy are the entire agreement between you and NECIT regarding the Site, and supersede prior understandings regarding the Site
- Severability: if any provision is held unenforceable, the remaining provisions remain in effect
- No waiver: our failure to enforce any provision is not a waiver of that provision
- Assignment: you may not assign these Terms without our consent; we may assign these Terms in connection with a merger, acquisition, or sale of assets
- Headings: section headings are for convenience only
18. Changes to These Terms
We may update these Terms from time to time. The "Last Updated" date above reflects the most recent revision. Continued use of the Site after an update constitutes acceptance of the revised Terms.
